Kevin Gray, Managing
Partner of GFS Acquisition Partners GP, LLC, President and founder of
GFS Investments, Inc., a Financial Services holding corporation
specializing in acquiring and managing privately held companies that
provide financial services. Holdings included 2 Investment Banking
franchises, Mortgage Brokerage, Registered Investment Advisory, and
Direct Access Trading software platforms. Mr. Gray is instrumental in
creating entities and managing workforce. He was Managing Principal
of the offices of Barron Chase Securities and RJ Steichen franchises.
Responsible for the hiring of management positions, budgeting office
expenses, payroll, analysis of debt and equity portfolios for
suitability, and all functions of operating and Investment Banking
facility. Instrumental in locating companies in need of investment
banking services such as Private Placements, Equity and Debt
offerings and Restructuring. As consultant to private and public
companies, have engaged in business development, structuring of
mergers, PIPE funding, Business Valuation, Cost Reduction, and
Strategy Development and Execution. Mr. Gray has established and
managed relationships with Investment Banking Firms, Venture
Capitalist, PR Firms, Accounting & Legal Professionals, and
Private Investors. He has conducted Mergers with corporations to
provide them with listing on the NASDAQ OTC and Frankfurt
markets and structured borrowing facilities on equity securities. For
the past four years Gray has been an active private investor,
investing his own capital in emerging companies in the United States.
Mr. Keith Thomas,Principal
Consultant of GFS Acquisition Partners GP, LLC, was Director of Sales
for Medley Global Advisors LLC from 2000 January 2006, where he
Identified prospective asset management firms through data base
searches, Established contact with the relevant decision makers who
were macro economic focused, Negotiated hard dollar contracts for
subscription to Medley’s G7 Macro, Emerging Market, Energy
& Oil services, Re-engaged ex-clients to become current clients,
and established new pricing models which successfully got clients to
pay for full years service up front. Thomas was previously with
Citigroup Global Markets Inc, from 1995 to 2000, where he was Senior
Vice President (Director’s Council) Financial Consultant
– Institutional Fixed Income Group covered Inter-American
Development Bank sold ABS, CDO, CLO & Agency Swaps –
Institutional Investor Group Equity Sales covered New York State
Common Retirement Fund developed program trading business as well as
trade execution for the internal NYSCRF S&P 500,400,600 funds.
Mr. Thomas served as Senior Vice President (President’s
Council) Financial Advisor at Prudential Securities Inc. from 1981 to
1995 where he was intrical in developing a team that grew the
business of Institutional and Retail High Net Worth Clients. Prior to
that Mr. Thomas worked in the back office of the Commodities Division
Foreign Exchange as Operation Manager for the Commodities Gold Desk
and became a Financial Consultant through the training program in
1984. Thomas and his wife live in New York City.
Christopher D. Donaldson, Mr.
Donaldson serves as a Director of GFS Acquisition Partners MGR, LLC.
He is responsible for analysis, transaction structuring, investor
relations and portfolio management and monitoring. Christopher joined
GFS Investments in 2000 as Vice Pres. of Business Development
consulting with small to medium cap companies in the areas of
Corporate Finance, SEC filings, audits, mergers, and acquisitions.
Mr. Donaldson has consulted for cutting edge leaders such as: Luxcore
Networks, Planetlink Communications, Kappa Card Inc., Fusion Point,
and XBridge Communications. He has extensive experience in the
Financial Services Industry with over thirteen years of managerial
experience and received training from industry leaders such as
Prudential Insurance Company of America and Paine Webber
Securities, Inc. He gained a vast knowledge of Estate Planning as a
Registered Rep with Prudential Insurance Co. and in 1995 obtained his
general securities licenses and entered into portfolio management. In
1998 until 2000 Mr. Donaldson was the assistant managing principal
and director of recruiting and training for GFS’ Retail
Securities Franchise (RJ Steichen). He received his degree in
Business from Colorado
Technical University where he graduated
Cum Laude.
P.J. Louis, Louis
serves as a Director of GFS Acquisition Partners MGR, LLC. He is
responsible for investment selection and analysis, transaction
structuring and portfolio company operations. Based on his
longstanding experience in the media, telecommunications and
converged media sectors, Mr. Louis plays an integral role in working
with portfolio company management teams to achieve their business
objectives. P.J. Louis has 28 years of experience leading companies
in the media, Internet, and telecommunications industries. His
primary areas of expertise are business development,
telecommunications technology management, product management,
marketing management, intellectual property development, management
processes, and strategic planning. Mr. Louis has served as an expert
witness and consulting expert in several litigations on behalf of
companies that have included AT&T Corporation, EDS, Starwoods
Hotel, TouchAmerica, and Global Crossing. Mr. Louis sits on the
boards of advisors for two motion picture studios; LF Productions and
Titan Motion Pictures Group. He serves as a mobile media technical
advisor and producer for the studios. Mr. Louis sits on the board of
advisors for a startup wireless telecommunications technology company
called incNetworks. He provides both business advisory and technical
advisory assistance to incNetworks. Mr. Louis is the author of 7
telecommunications technology and business books. His publishers are
McGraw-Hill and Mind Commerce.
In 2005, Mr. Louis served as both CFO and COO for Fun Little Movies,
a Hollywood movie studio. Mr. Louis
was Managing Director for PricewaterhouseCoopers’ Telecom &
Technology Restructuring Practice. He was also Managing Director for
FTI Financial Consultant’s Telecom Restructuring Practice.
Between 2001 and 2005, he served as an advisor in approximately over
50 different restructurings. Mr. Louis specialized in business
recovery services for financially troubled and underperforming
telecommunications and technology companies. Between 1997 and 2001,
Mr. Louis was Vice President of Marketing and Product Management for
TruePosition Wireless Location, Inc.; a holding of Liberty Media. He
had been responsible for establishing, leading, and maintaining the
Company’s carrier relations, sales, sales technical support,
product management, and marketing communications programs. Between
1996 and 1997, Mr. Louis was Director for Technology for NextWave
Wireless, a nationwide cellular carrier. Mr. Louis was responsible
for all technology evaluation and network planning. In the early
1990s, Mr. Louis was Managing Senior Engineer for Bell Communications
Research’s wireless and wireline technologies group. Mr. Louis
participated in the creation of the United States’
first wireless roaming standard and the original CDMA, TDMA, and GSM
wireless signaling standards. Prior to Bell Communications, Mr. Louis
was Chief of Staff for Network Engineering for NYNEX Corporation
(today known as Verizon Communications). He had corporate-wide
responsibility for the planning and deployment of new
telecommunications technology.
Mr. Louis has a B.S. from Columbia
University and a M.S. from Polytechnic University. He is also the
author of over seven telecommunications business books and numerous
articles on the media and telecommunications industries.
ADVISORY BOARD
Mr. Jean S. Fugett Jr. Esq. helped his
brother Reginald F. Lewis found TLC Group in 1983. From there Fugett
served as Director and Vice-Chair of the McCall Pattern Company
Management Committee, as founding partner of a Baltimore
law firm, and as a partner with Fanfone in Europe.
After the death of his brother in 1993, Fugett took over TLC Beatrice
International Foods, the largest minority-owned and managed business
in the US.
At its peak, TLC Beatrice had $2.2 billion in sales and was number
512 on Fortune magazine’s list of 1,000 largest. After graduating
from Amherst
College in 1972
with honors, Fugett was drafted by the Dallas Cowboys (1972-1975) and
started in Super Bowl X before joining the Washington Redskins
(1976-1979) as one of the first modern day NFL free agents. While
playing in Washington, Fugett
attended George
Washington University Law
School at
night, worked as a news anchor for CBS affiliate Channel 9 WUSA and
as a reporter for the Washington Post. A highly sought after
motivational speaker, Fugett spends much of his time visiting public
schools, Children’s Hospitals, and taking part in football clinics
for kids. In addition to his law practice, Fugett currently serves as
President of the Retired Players Steering Committee of the NFLPA.
Fugett and Gardner Law Group represent the fund as General Counsel.
Mr. Karl Douglass has a long
distinguished career on Wall Street as an investor, banker and
advisor. Douglass formerly was Chairman of Copper Beech Equity for 4
years. He also has extensive experience in private equity and venture
capital, having formed and overseen Copper Beech Equity. Douglass's
principal function is advising CEO's and other senior corporate
officers on strategic matters. Douglass specializes in the
technology, media, and Internet sectors and is also called upon on by
all the specialty areas, including private equity, real estate,
capital markets and mergers and acquisitions.
Mr. Samuel Roberts was a
Consultant for GA Associates (Holdings) Ltd., a Mergers Acquisition
& Corporate Finance brokerage, from May 2001 to Aug 2005, where
he liaised on behalf of investors or companies, to attract investment
or purchase of their business, Production of management pack with
ratio analysis of KPI’s, and prepared Cash flow analysis and
Business Plans for existing Clientele. Roberts was previously with
Bibra International, Hotgen Studios, and Converse Inc from 1999 to
2001, where he was European Accountant and focused on outlining the
profitability of various projects, liaised with European Operating
units heads to agree on inter-company Balances and Report findings,
and assisted Financial Controller with Ad Hoc duties as and when
required. Mr. Roberts served as Contracted Financial Accountant at
Legal & General Assurance Plc, Homebase PLC., Woolwich Bank PLC,
and Commercial Union Assurance Plc. from 1981 to 1999 where he was
involved in all aspects of Management Accountant including preparation
of budgets and cash flow forecasting, prepared Companies analysis for
Disposal – Ad hoc tasks working with the Legal Department and
advised external professional organizations.Mr. Roberts various
consultant positions have enabled him to create a vast network of
contacts in the European Communities and Dubai.
